1. About Gyde

Gyde is a product recommendation quiz application built for Shopify merchants. These Terms of Service ("Terms") govern your use of Gyde (the "App") and the services provided through it (the "Services"). By installing or using the App, you agree to be bound by these Terms.

Gyde is operated by FeedbackFlow ("we", "us", "our"). You can reach us at support@feedbackflowhq.com or through our website at https://gyde.vercel.app.

2. Acceptance of These Terms

Please read this Agreement carefully before installing or using Gyde.

By installing Gyde from the Shopify App Store or otherwise accessing the Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not install or use the App.

These Terms apply to all merchants and users who access or use the Services. Use of Gyde is also subject to Shopify's Terms of Service, which you must separately agree to with Shopify. In the event of a conflict between these Terms and Shopify's Terms of Service, Shopify's Terms of Service shall take precedence with respect to your use of the Shopify platform.

3. Description of Services

Gyde enables Shopify merchants to embed interactive product recommendation quizzes in their online stores. The App allows merchants to:

• Create and customize product recommendation quizzes
• Display quizzes to storefront visitors
• Collect quiz responses and recommend products based on customer answers
• View analytics and quiz performance data

4. Eligibility

You must have an active Shopify store and a valid Shopify account to use the App. By agreeing to these Terms, you represent that you have the authority to bind your business to this Agreement.

5. Shopify Billing

All subscription fees for Gyde are billed through Shopify's billing system in accordance with Shopify's Partner Program Agreement. By subscribing to a paid plan, you authorize Shopify to charge your account on a recurring basis. Plan fees, billing cycles, and cancellation terms are managed through your Shopify admin. We do not directly process or store your payment information.

Applicable taxes, levies, or duties imposed by taxing authorities are your sole responsibility unless otherwise required by law.

6. Free Trial

We may offer a free trial period at our discretion. At the end of the free trial, your account will be charged through Shopify unless you uninstall the App or downgrade to a free plan before the trial expires.

7. Cancellation and Downgrading

You may cancel your subscription at any time by uninstalling the App from your Shopify admin or by downgrading to a free plan where available. Upon cancellation, your access to paid features will continue until the end of your current billing period. Downgrading may result in the loss of features or data capacity, and we are not liable for such losses.

8. Your Responsibilities

You agree to use the App only for lawful purposes and in accordance with these Terms. You are solely responsible for:

• All content you create using the App, including quiz questions and configurations
• Ensuring your use of the App complies with all applicable laws, including data protection and privacy regulations (such as GDPR, CCPA, and others applicable in your jurisdiction)
• Obtaining any necessary consents from your customers before collecting their data through quizzes
• Ensuring your store's privacy policy discloses your use of third-party apps that collect customer data

9. Prohibited Uses

You agree not to use the App to:

• Violate any local, state, national, or international law or regulation
• Collect sensitive personal information such as payment card numbers, passwords, or government ID numbers through quizzes
• Engage in deceptive, fraudulent, or misleading practices, including phishing
• Distribute malware, viruses, or other harmful code
• Harass, bully, or threaten any person
• Infringe upon the intellectual property rights of others
• Collect or solicit personal information from children under the age of 13 (or the applicable age of digital consent in your jurisdiction) without appropriate parental consent

Any violation of these prohibitions may result in immediate suspension or termination of your access to the App.

10. Intellectual Property

All rights, title, and interest in and to the App, including all intellectual property rights, are and will remain the exclusive property of FeedbackFlow. These Terms do not grant you any right to use our name, logos, or trademarks without our prior written consent.

You retain all rights to the quiz content and data you create through the App. By using the App, you grant us a limited license to use, store, and process your content solely for the purpose of providing the Services.

11. Data and Privacy

Your use of the App is also governed by our Privacy Policy. By using the App, you acknowledge that we collect and use data as described in our Privacy Policy. You are responsible for ensuring that your collection of customer data through the App complies with your own privacy obligations and any applicable laws.

12. Third-Party Services

The App may integrate with or rely on third-party services (such as analytics providers or Shopify's APIs). We are not responsible for the terms, privacy practices, or conduct of any third-party services. Your use of such services is at your own risk.

13. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.

14. Limitation of Liability

To the fullest extent permitted by applicable law, FeedbackFlow and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the App, even if we have been advised of the possibility of such damages. Our total aggregate liability to you shall not exceed the fees paid by you (via Shopify) for the App in the three (3) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless FeedbackFlow and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content or data you submit through the App.

16. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or if required by Shopify's policies. You may terminate your use of the App at any time by uninstalling it from your Shopify store. Upon termination, your right to use the App will immediately cease.

17. Modifications to the App and Terms

We reserve the right to modify or discontinue the App or any part of it at any time. We may also update these Terms from time to time. Updated Terms will be posted at https://gyde.vercel.app/legal/tos. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must uninstall the App.

18. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through binding arbitration on an individual basis, and you waive any right to participate in class action litigation or class-wide arbitration.
